1. Introduction

Welcome to Fairfax Partners Inc. (“Fairfax Partners,” “Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern the use of our services operated across our divisions Fairfax IR, Fairfax Ventures, and Fairfax Strategies, and our proprietary investor relations products Frame (including Fair), Post!, and Fairfax+ (collectively, the “Services”).

By accessing or using the Services, you (“User,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Cross-reference: Use of the Services is also governed by our Privacy Policy.

2. Scope of Services

Fairfax Partners provides professional services across three divisions:

• Fairfax IR (Investor Relations)

• Frame (including Fair): IR infrastructure, branding, compliance setup, and investor engagement.

• Post!: News definition, drafting, review, approval, dissemination, and ongoing updates to IR materials and strategy.

• Fairfax+: Expanded digital marketing, paid campaigns, influencer outreach, and market awareness.

• Fairfax Ventures

• Funding, advisory, and strategic investment services.

• Fairfax Strategies

• Corporate finance, financial structuring, M&A advisory, and debt/equity structuring.

3. Eligibility

You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement.

4. Compliance With Laws

We support publicly traded companies and financial professionals in multiple jurisdictions. Users must comply with all applicable laws and regulations, including securities, anti-fraud, anti-bribery/anti-corruption, sanctions, and data protection laws in their jurisdiction.

5. User Obligations

You agree to:

• Use the Services lawfully and ethically;

• Provide accurate and up-to-date information;

• Refrain from fraudulent, misleading, infringing, or unlawful activities;

• Comply with applicable data protection and disclosure rules;

• Not misuse, reverse engineer, or interfere with our platforms.

6. Payment and Fees

Some Services require fees under separate statements of work or service agreements. You agree to pay all fees as specified therein. We may modify pricing on notice as stated in your agreement.

7. Confidentiality & IP

Each party may disclose confidential information to the other; recipients must protect such information and use it only to perform obligations. All Fairfax Partners IP (including methodology, templates, software, and content) remains the property of Fairfax Partners.

8. Disclaimers

Except as expressly provided in a signed agreement, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including fitness for a particular purpose and non-infringement. Fairfax Partners does not provide investment advice; all materials are for informational purposes only.

9. Limitation of Liability

To the maximum extent permitted by law, Fairfax Partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, or business interruption. Our aggregate liability arising from or related to the Services will not exceed the amounts paid by you to Fairfax Partners for the Services giving rise to the claim during the twelve (12) months preceding the event.

10. Indemnification

You agree to indemnify and hold Fairfax Partners harmless from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Services, your breach of these Terms, or your violation of law.

11. Termination

We may suspend or terminate access to the Services for breach of these Terms, unlawful activity, or risk to the Services. You may stop using the Services at any time. Sections intended to survive (e.g., confidentiality, IP, disclaimers, limitations, indemnification) will survive termination.

12. Governing Law; Disputes

These Terms are governed by the laws of the jurisdiction specified in your governing agreement with Fairfax Partners; if none, the laws of British Columbia, Canada, without regard to conflict-of-laws principles. Venue and jurisdiction will lie in the courts of that forum.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted with an updated “Last updated” date. Continued use of the Services after changes take effect constitutes acceptance.
